About the Position

Altus Power is currently seeking a highly motivated individual with the skills, experience, and aptitude to join our lean and efficient Legal team as Associate General Counsel. The candidate will report to our Chief Legal Officer and will act as a key resource and primary point of contact for our business teams. The candidate should have experience handling corporate transactional matters. Preferably, you should be familiar with renewable energy, real estate, environmental matters, and related matters.

The successful candidate would be responsible for executing, reviewing and negotiating contracts and on development projects and operating projects, which include commercial building roof leases, ground leases, power purchase agreements, EPC and subcontractor agreements, equipment supply agreements, and purchase and sale agreements. The candidate will be working closely with the development, origination, structuring and customer teams to manage solar transactions, including review of such documents for due diligence and execute and close on solar transactions.

Responsibilities:

• Work as part of a cross-functional team delivering legal advice to the various business teams on transactional matters, clean energy agreements, corporate organizational and corporate structure matters, and company policies.

• Review, draft, and negotiate a wide range of agreements, including lease agreements, power purchase agreements, membership interest purchase agreements, credit agreements, subscriber agreements, development agreements, consulting agreements, vendor contracts, O&M contracts, EPC contracts, and other complex commercial agreements.

• Perform due diligence in connection with solar transactions in areas such as permitting, site control, etc. and assist in closings of such solar transactions and financing transactions, such as credit agreements and tax equity partnership agreements.

• Stay up to date on relevant federal and state energy and solar program rules and regulations and other applicable areas.

• Build and maintain scalable and effective processes for providing legal input to the business to develop procedures related to vendor management, asset management, data privacy and other related areas.

Requirements:

• 3-5 years of legal experience with expertise in contract negotiation and corporate law.

• In-house legal experience preferred, particularly in connection with clean energy platforms with expertise in advising on corporate and contractual matters.

• A deep understanding of contracts, including NDAs, consulting agreements, development agreements, purchase agreements, financing agreements, and preferably, lease agreements and power purchase agreements,

• An ability to provide strategic legal advice for all aspects related to owning, originating, developing, and operating locally sited solar generation, energy storage and EV charging facilities, and the desire to learn about regulations concerning the provision of clean energy as well as public companies.

• Can guide the business and provide practical advice in a fast-paced environment

• Is collaborative, self-motivated, curious, and a clear communicator of legal advice.

• Exceptional communication and project management skills, including a strong desire and ability to convert complex topics understandable for various audiences.

• Ability and strong desire to effectively advise, develop relationships, and work collaboratively across stakeholders both within and outside of legal.

• Solution-oriented, risk awareness, business service focused, and maintains a growth mindset.

• Bar admission and in good standing to practice law in New York, Connecticut or other state.
