Altus Power Referral Program; Terms and Conditions

1. Introduction: The Altus Power Referral Program ("Program") allows existing residential customers to Altus Power owned community solar projects (each a “Project) in the New Jersey, New York, Massachusetts, Maine, Maryland, Minnesota, Hawaii, and Colorado (the “Eligible States”) to receive a referral reward of $50 for each eligible subscriber referred (“Referee”) upon the Referee’s enrollment. The Program is administered by Altus Power, LLC, including affiliates controlled by, controlling, or under common control (collectively the “Altus Power”).

3. Who can be referred: To be a “Referee”: the person being referred must:
   
   • be of legal age (reached the age of majority in their state of residence) and comply with applicable laws and regulations;
   • residing in an Eligible State; and
   • the eligibility of referred individuals will be determined by Altus Power, in its sole discretion, based upon the eligibility criteria of the Eligible State’s Community Solar Program, the available capacity in the applicable Project, and the needs of other subscribers and applicants. Altus Power may refuse to process any application for enrollment for any reason.

4. Referral Process:
   
   • Altus Power will provide a referral account for the Referrer enabling them to track the referrals submitted and view eligible rewards earned to date.
   • Referrers must share their unique referral link and/or promocode provided by Altus Power with potential Referees. It is your responsibility to keep the access codes we provided for your account confidential.
   • Referees must use the provided referral link and/or promocode during their enrollment process in order for the Referrer to be eligible for the referral reward. The use of a referral link and/or promocode does not guarantee enrollment or priority processing.
   • Altus Power is providing you with the tool to generate your unique referral link so you can share it with your friends and family. You are not authorized to make any other marketing claims, including claims of savings or the nature of Altus Power’s service. Any communications that you do make in connection with referrals must be honest and accurate. You must disclose in any referral communication that you are an Altus Power customer and that you may receive a Reward for any successful referral.

5. Reward Distribution:
   
   • Referral rewards will be distributed to the Referrer within 30 days after the eligible Referee's enrollment is confirmed. Altus Power, LLC may delay a referral reward for the purposes of investigation or other administrative purposes.
   • Rewards will be issued by Tremendous via Altus Power and come from the email rewards@reward.tremendous.com. Terms and conditions are applied to gift cards. Please see the merchant gift card for additional terms and conditions, which are subject to change at merchant's sole discretion.
   • Valid email address is required for receipt of a gift card.
   • Rewards will be delivered in the form of a $50 gift card or ACH payment. Restrictions may apply. For example, if the referral reward is in the form of a gift card, it may be subject to the issuer's terms and conditions. Any Referrer who accumulates  
   • Rewards of or exceeding $600 during one annual period must provide an IRS Form W-9  to Altus Power in order to claim the Reward and Altus Power shall issue an IRS Form 1099 to such Referrer. Participants are responsible for all applicable taxes.

6. Additional Rewards.
   
   • Altus Power may from time-to-time at its sole discretion, offer additional one-time rewards to Referrers who reach certain milestones. Additional rewards will be communicated directly to the Referrer. Referrers are responsible for ensuring that Altus Power has up-to-date contact information on file.  
   • Altus Power is not responsible for any undelivered emails, messages, packages or other communications that you do not receive, including without limitation any messages you may not see because of the privacy or other spam filter settings you have on your email or messaging accounts.  
   • Altus Power reserves the right to modify substitute or discontinue milestone rewards at any time and may or may not replace them with a different reward or experience.  

7. Abuse and Misuse:
   
   • Altus Power reserves the right to investigate and terminate participation in the Program for any Referrer suspected of abusing or misusing the Program.
   • Altus Power reserves the right to void any rewards suspected to be obtained through fraudulent activity or in violation of these terms and conditions at any time. A voided award may appear as a negative balance on participants referral account.  

8. Restrictions:
   
   • Referrers may not refer themselves or create multiple, fictitious, or fake accounts for the purpose of receiving referral rewards.
   • Referrals must be created and distributed in a personal manner that is appropriate and customary for communications with Referree. Bulk email distribution or spam, distribution to strangers, or any other use of the services described herein in a manner that is not promoted is expressly prohibited and may be grounds for immediate termination and further legal action. Altus Power, LLC has no obligation to monitor the Program or any communications. Referrers who do not comply with the law, including anti-spam laws, are obligated to indemnify the Altus Power LLC against any liabilities, costs and expenses it incurs as a result of such spam.
   • No participant may use the Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Program.
   • In addition, you may not (i) tamper with the Program, (ii) act in an unfair or disruptive manner, or (iii) use any system, bot or other device or artifice to participate or receive any benefit in the Program.
   • ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, ALTUS POWER, LLC RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

9. Liability.  
   
   • PARTICIPANTS UNDERSTAND AND AGREE THAT ALTUS POWER SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES. TO THE FULLEST EXTENT POSSIBLE BY LAW, ALTUS POWER’S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), WILL NOT EXCEED $50.

10. Modification and Termination:
    
    • Altus Power reserves the right to modify or terminate the Program at any time without prior notice. These Terms and Conditions will continue to apply to eligible referrals made prior to such termination, unless your participation is terminated due to a violation of these Terms and Conditions.
    • Any changes to the program terms and conditions may be communicated to by Altus Power. If you do not agree to any modification of these Terms & Conditions, you must immediately cease participation in the Program. You agree that your continued participation in the Program after any change shall be deemed to be your acceptance of the Program change.

11. Privacy:
    
    • Participation in the Program may require the sharing of personal information. Altus Power will collect, process, and use such information in accordance with its Privacy Policy, which can be found at https://www.altuspower.com/privacy-policy. The personal information may also be used by Altus Power to contact Referrers with regards to their participation in the Program and to send to Referrers additional communications from Altus Power, LLC. You also hereby authorize us to release any such information regarding your account to someone referred by you as necessary to enroll such potential customers with us.  

12. Governing Law:
    
    • These terms and conditions are governed by the laws of the state of New York.

13. No Agency.  
    
    • No employment or agency. This Program does not create an employment or agency relationship between Rivian with any Referrer. Referrers shall not represent themselves as acting on behalf of Rivian, nor are Referrers entitled to any compensation other than the Referral Rewards.

By participating in the Program, participants agree to abide by these terms and conditions. Altus Power reserves the right to make changes to these terms and conditions at any time.
